You agree to display the WorldMate Brand only in accordance with the current Attribution Guidelines available at developers. You shall not remove any copyright, trademark, proprietary right, disclaimer or other warning notice included in or embedded in any part of the WorldMate Email Parsing API.

You grant WorldMate a revocable, worldwide, royalty-free, non-transferable, and non-exclusive license to use your brand, logo, trademarks, trade names, service marks, and other distinctive features to publicize or advertise your use of the WorldMate Email Parsing API. You represent and warrant to WorldMate that you have all the rights, power, and authority necessary to grant the above license. WorldMate may elect to provide you maintenance or support services even if you have not chosen to upgrade to the premium tier, in its sole and absolute discretion.

However, WorldMate has the sole discretion to terminate this support without any notice to you and at any time. You may terminate your legal agreement with WorldMate by providing written notice to WorldMate at developers worldmate. WorldMate may, at any time and without any reason, in its sole and absolute discretion, terminate its agreement with you or cease to provide any or all of the WorldMate Email Parsing API and related services if any without notice.

WorldMate may, in any event that it regards as a breach of these Terms in its sole and absolute discretion, terminate your WorldMate Developer Account, in addition to all other remedies available to it pursuant to these Terms and any applicable law. By inputting or submitting content to the WorldMate Email Parsing API, or sending us information in connection with the Usage " Content " , you automatically represent and warrant to WorldMate that the owner of such Content has expressly granted WorldMate a royalty-free, perpetual, irrevocable, worldwide nonexclusive license to use, reproduce, create derivative works from, collect, store, modify, transmit, perform and display the Content for WorldMate's routine operations.

WorldMate may combine any Content you provide with information from other users to create aggregated data " Aggregated Data " WorldMate represents that Aggregated Data will not contain any personally identifiable information. Aggregated Data shall be the property of WorldMate. WorldMate retains the right to disclose Aggregated Data to third parties. WorldMate will, as soon as reasonably practical, delete the personally identifiable information of any of your users unless that information is separately procured by WorldMate.

You hereby acknowledge that we use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to use the WorldMate Email Parsing API. The technical processing and transmission of any Content in connection with the Usage, may be transferred unencrypted and involve a transmissions over various networks and in various media; and b changes and adaptations to Content to conform and adapt to technical requirements of connecting networks, devices, services or media.

We claim no intellectual property rights over the Content and any other material you obtain or create by the Usage and you retain copyright and any other rights you may rightfully hold in any such Content or material. If you have contributed your Content to WorldMate, you recognize that violation of these Terms may result in loss of access to your Content.

WorldMate does not pre-screen Content. However, WorldMate and its designees have the right but not the obligation in their sole discretion to block or restrict access to or the availability of, or to disable, any Content that is available via the Usage. Without limiting the foregoing, WorldMate and its designees may disable, restrict access to or the availability of, any Content that violates these Terms, any applicable law or is otherwise objectionable.

You shall evaluate, and bear all risks associated with, the use and sharing of any Content, including any reliance on the accuracy, integrity, quality or usefulness of such Content.

You agree that WorldMate may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the webpage on WorldMate's website related to the WorldMate Email Parsing API.

The terms and conditions of this Agreement constitute the entire agreement between You and MobiMate with respect to the subject matters hereof and will supersede and replace all prior understandings and agreements, in whatever form, regarding the subject matters.

Should any term or provision hereof be deemed invalid, void or enforceable either in its entirety or in a particular application, the remainder of this Agreement shall nonetheless remain in full force and effect.

The failure of MobiMate at any time or times to require performance of any provisions hereof shall in no manner affect its right at a later time to enforce the same unless the same is explicitly waived in writing and signed by MobiMate. You are not allowed to assign this Agreement or any rights hereunder.

MobiMate is allowed at its sole discretion to assign this Agreement or any rights hereunder to any Affiliate, without giving prior notice. This Agreement shall be governed by and construed in accordance with the laws of the State of Israel.

You agree to submit any legal proceedings arising out of or relating to this Agreement to the exclusive jurisdiction of the competent courts of Tel-Aviv, Israel. The original English version of this Agreement may have been translated into other languages. In the event of inconsistency or discrepancy between the English version and any other language version of this Agreement, the English language version shall prevail. To the extent that you have breached or have indicated your intention to breach this Agreement in any manner which violates or may violate MobiMate's intellectual property rights, or may cause continuing or irreparable harm to MobiMate including, but not limited to, any breach that may impact MobiMate's intellectual property rights, or a breach by reverse engineering , MobiMate may seek injunctive relief, or any other appropriate relief, in any court of competent jurisdiction.
